Looks easy when you drag-and-drop? The hard part is writing all six to the standard a PRC court will actually enforce — numbers, statutory citations, default defenses, all tailored to your SKU.

Still missing 6 clause(s) — here is where the factory will counter-bite:
    • NNN Agreement: Factory resells your drawings, BOM and customer list to competitors — or lists your SKU on 1688 / Alibaba under their own brand
    • Tooling Ownership: Factory holds molds hostage when you try to switch — or quietly runs your tooling for a competitor on the night shift
    • Payment Terms: 100% upfront or 50/50 leaves you zero leverage the moment quality slips
    • AQL Inspection Standard: Without a written standard, factory defends with "industry practice" and you accept defective goods
    • Liquidated Damages: A bare "damages per applicable law" clause gives the court no formula — courts in both PRC and the US strike it down or read it as zero
    • Jurisdiction & Arbitration: Naming a US, Taiwan or UK court means the judgment is wallpaper — PRC courts almost never enforce foreign judgments, and the factory's assets sit in China
